Italian Company Law represents a great flexible tool to commercial companies and shareholders, by providing a framework of general principles and guidelines of different structured companies. 

Even if company law is becoming progressively harmonized thanks to the European Directives, foreign investors need to analyze and study several provisions to comply with the Italian legal framework, that has undergone significant reforms through the years. 

According to the Italian Company Law, an investor can set up the following main companies:

  • Limited liability company (SRL):
    • Minimum capital of € 10.000,00;
    • Limited by quotas;
    • Limited liability for the company owners.
  • Joint stock company (SPA): 
    • Minimum capital of € 50.000,00;
    • Limited by shares;
    • Unlimited liability for the company owners.

The recent company law reforms substantially modified the SRL, which is now very flexible and preferred by foreign investors.
